Guests, Corporations and Tour Operators memberships are operated by 3770672 Canada Inc.(CANONICAL ROBOTIC AGGREGRATOR hereinafter referred to as "CRA").

Access for NON-ADVERTISERS (Guests, Corporations and Tour Operators)
RC3 .... Access and use of the membership portions of the Site are provided by CRA to you on condition that you accept the terms and conditions of The Membership Agreement and the Terms of Use, and by accessing or using the membership portions of OUR SITES, you agree to the terms and conditions of The Membership Agreement and the Terms of Use .If you do not agree to accept and abide by The Membership Agreement and the Terms of Use, you should not access or use the membership portions of the Site.

RC4 .... CRA reserves the right, in its discretion, to change or modify all or any part of The Membership Agreement at any time, effective immediately upon notice published on OUR SITES. Your continued use of the membership portions of OUR SITES after such notice constitutes your binding acceptance of the terms and conditions in The Membership Agreement , including any changes or modifications made by CRA as permitted above. If at any time the terms and conditions of The Membership Agreement are no longer acceptable to you, you should immediately cease use of the membership portions of OUR SITES.

Use of Content
RC5 .... You acknowledge that OUR SITES contain or may contain information, software, photographs, illustrations, audio files, video files, animations, flash files, data files, code snippets and other material (collectively, "Content") which is protected by copyright, trademark or other proprietary rights of US and our affiliates or other third parties (including other members).

RC6 .... You may not modify, publish, transmit, transfer or sell, reproduce, create derivative works from, distribute, perform, display, reverse engineer or in any way exploit any of the Content, in whole or in part, except as otherwise expressly permitted in this Restaurant Access Agreement and/or any other agreement entered into at the time such Content was downloaded (such as a Content License Agreement).

RC7 .... Content is provided to OUR SITES through members entering into A Restaurant Access Agreement

either on an EXCLUSIVE or NON-EXCLUSIVE basis (each, a Restaurant Access Agreement ).Subject to the provisions of the applicable Restaurant Access Agreement or Advertisers Access Agreement, you may post on OUR SITES any Content owned wholly by you. You may download Content only in accordance with the terms of The Restaurant Access Agreement and the then applicable Content License Agreement.
Access Fees start at $300.00 and this is for miminum visibilty.


Passwords
RC8 .... With the exception of passwords allowing access to the reservations management module (which most employees need to access); You acknowledge and agree that the user identification provided by US to you so that you may access and utilize the membership portions of OUR SITES (your "Username"), and the password selected by and used by you in conjunction with your Username are to be kept secret and confidential. You agree that you shall not disclose such Username AND password to any other party without the express written permission of US.You agree that you shall not disclose such password to any other party without the express written permission of US.

RC9 .... You acknowledge and agree that you will be responsible for each and every access or use of the membership portions of OUR SITES that occur in conjunction with your Username and such passwords, and that WE are authorized to accept your Username and password as conclusive evidence that you have accessed or utilized the membership portions of OUR SITES. You acknowledge that such password(s) are personal to you and that, although WE do have the ability to require password(s) to meet certain requirements (such as a minimum or maximum number of characters) and to reset such password(s), CRA does not have the ability to access the password(s) themselves. As for advertisers please contact your representative, who can supply you with a temporary password. By requesting a temporary password, the advertiser assures US that it will reset the temporary password.

RC10 ... You agree that you will not use OUR SITES for any purpose that is unlawful or not permitted by any Agreement(s). By way of example, and not as a limitation, you agree that when uploading to or communicating via OUR SITES, including in respect of any forums, chat-rooms or other exchanges (a "Forum") accessed on or through OUR SITES, you shall not do any of the following:

Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy) of others. Publish, post, distribute or disseminate any defamatory, infringing, obscene, pornographic, sexual, indecent or unlawful material or information. Upload or otherwise transfer files that contain software or other material protected by intellectual property laws (or by rights of privacy or confidentiality) unless you own or control the rights thereto or have received all necessary consents. Upload or otherwise transfer files that contain viruses, corrupted files or any other similar software or programs that may damage or inhibit the operation of another computer. Delete any author attributions, legal notices, or proprietary designations or labels in any file that is uploaded. Falsify the origin or source of software or other material contained in a file that is uploaded.Conduct or forward surveys, contests or chain letters. Download any file posted by another user of a Forum that you know, or reasonably should know, cannot be legally distributed in such manner. Use any communications or Content or other information obtained through OUR SITES in a manner that is competitive with OUR SITES or CRA's business or The CRA Family of Websites business.

RC11 ... You acknowledge that Forums are public and not private communications. Further, you acknowledge that no communication of a third party or Content is endorsed by US and no communication of a third party or Content may be considered reviewed, screened or approved by US. As explained below, WE reserve the right for any reason to remove without notice any communication, Content or other material posted to OUR SITES.

RC12 ... You also agree not to use OUR SITES in any manner that could damage, disable, overburden, or impair OUR SITES or interfere with any other party's use and enjoyment of OUR SITES. You also agree not to attempt to gain unauthorized access to any other member accounts, computer systems or networks associated with OUR SITES. You also agree not to obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through OUR SITES.

Term and Termination

RC13 ... All AGREEMENTS are effective as of the date of signing . You may terminate The Membership Agreement 30 days prior to the end of the then current term by emailing us at info at rsvns.com or by such other means of written notice acceptable to US which enables confirmation of your identity and your intention to terminate. WE reserve the right, in our sole discretion, to restrict, suspend or terminate your right to access the membership portions of OUR SITES at any time for any reason without prior notice or liability. WE may change, suspend or discontinue all or any aspect of OUR SITES at any time, including the availability of any feature, database, or content, without prior notice or liability.

RC14 ... WE may (but is not in our interest) also terminate or suspend your access to the membership portions of OUR SITES for inactivity, which is defined as failing to access the membership portions of OUR SITES for an extended period of time, as reasonably determined by US.

RC15 ... Termination or Suspension of the Membership Agreement or the Restaurant Access Agreement does not relieve you of your responsibilities to pay any amounts due to CRA under the Membership Agreement or to the CRA Family of Websites under the Restaurant Access Agreement or your obligations to not use the membership portions of OUR SITES or Advertising Section of OUR SITES or any Content other than in the manner permitted under the Membership Agreement or the Restaurant Access Agreement or the Content License Agreement.

RC16 ... Termination or Suspension of the Membership Agreement and/or the Restaurant Access Agreement and/or Content License Agreement shall operate without prejudice to the CRA's and the CRA Family of Websites rights, defenses and limitations of liability provided under the Membership Agreement and/or the Restaurant Access Agreement and/or the Content License Agreement, which rights, defenses and limitations of liability shall survive termination of the Membership Agreement and/or the Restaurant Access Agreement and/or the Content License Agreement.

Age and Responsibility

RC17 ... You represent and warrant that you are of sufficient legal age to use OUR SITES and to create binding legal obligations for any liability you may incur as a result of the use of OUR SITES. You agree to be responsible for all of your use of OUR SITES (as well as for use of your Username and password(s) by others, including without limitation, minors living with you). You agree to supervise all usage by minors of OUR SITES under your name or account.

MANAGING CONTENT
WE do not and cannot review all communications or Content uploaded to OUR SITES and are not responsible for the content of such communications or Content. Notwithstanding the foregoing, WE reserve the right to delete, move,replace or edit any communication or Content that WE may determine, in OUR SITES sole opinion or discretion, violates or may violate any Agreement or is otherwise unacceptable. You shall remain solely responsible for all communications made or Content uploaded under your Username. WE shall have the right but not the obligation to correct any errors or omissions in any Content, as we may determine in our sole discretion. You acknowledge that any screening of Content performed by US to determine Accepted Content is done as a courtesy only.

WE respect the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please contact the US at info at rsvns.com .

Confidential Information

You acknowledge that the Confidential Information (defined below) which you obtain through the entering into of our Agreements and the use of the OUR SITES constitutes valuable, confidential, proprietary information of the CRA and the CRA Family of Websites and their licensors, and you agree that during the term of any of our agreements and thereafter you shall not, without the express written consent of Gianni Cammuso, use or disclose to any other person any such Confidential Information, except as specifically authorized under our agreements or as required by applicable law.

For the purposes of any of our agreements, "Confidential Information" means any and all data, information, documents, software or materials relating to the business and management of the CRA and the CRA Family of Websites, its members, affiliates, licensors or licensees, that is designated as confidential or ought reasonably to be considered confidential, including but not limited to: their business model and operations, processes, products, designs, pricing, promotions, business plans, business opportunities, finances, research, development, know-how, trade-secrets, training materials, personnel, clients, methodologies, Site content belonging to others and other intellectual property.

INDEMNITY
YOU AGREE TO INDEMNIFY, DEFEND AND HOLD THE CRA AND THE CRA FAMILY OF WEBSITES AND THEIR AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, PARTNERS AND AGENTS (COLLECTIVELY, THE "CRA PARTIES") HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITY, LOSSES, COSTS AND EXPENSES (INCLUDING LAWYERS' FEES ON A SOLICITOR AND CLIENT BASIS) INCURRED BY ANY OF THE CRA PARTIES AND THE CRA FAMILY OF WEBSITES IN CONNECTION WITH:
(I) ANY USE OR ALLEGED USE OF THE SITE UNDER YOUR USERNAME BY ANY PERSON, WHETHER OR NOT AUTHORIZED BY YOU;
(II) OR RESULTING FROM ANY COMMUNICATION MADE OR CONTENT UPLOADED UNDER YOUR USERNAME; OR
(III) ANY BREACH BY YOU OF THE MEMBERSHIP AGREEMENT OR THE RESTAURANT ACCESS AGREEMENT.
THE CRA AND THE CRA FAMILY OF WEBSITES RESERVE THE RIGHT, AT YOUR EXPENSE, TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER OTHERWISE SUBJECT TO INDEMNIFICATION BY YOU, AND IN SUCH CASE, YOU AGREE TO COOPERATE WITH THE CRA'S AND THE CRA FAMILY OF WEBSITES DEFENSE OF SUCH CLAIM.


DISCLAIMER OF WARRANTIES
OUR SITES, INCLUDING ANY CONTENT CONTAINED THEREIN, ARE PROVIDED "AS IS" WITHOUT REPRESENTATION, WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED REPRESENTATIONS, WARRANTIES OR CONDITIONS OF MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT REPRESENT OR WARRANT THAT OUR SITES OR THE CONTENT WILL MEET YOUR REQUIREMENTS OR THAT THEIR USE WILL BE UNINTERRUPTED OR ERROR FREE.
WE DO NOT REPRESENT OR WARRANT THAT THE SITE OR ANY CONTENT AVAILABLE FOR DOWNLOADING THROUGH THE SITE WILL BE FREE OF VIRUSES OR SIMILAR CONTAMINATION OR DESTRUCTIVE FEATURES.

LIMITATION OF LIABILITY

IN NO EVENT SHALL WE OR ANY OF OUR DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, PARTNERS, LICENSORS OR AGENTS BE LIABLE FOR ANY INCIDENTAL, INDIRECT, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR LOSS OF PROFITS, INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) IN CONNECTION WITH ANY CLAIM, LOSS, DAMAGE, ACTION, SUIT OR OTHER PROCEEDING ARISING UNDER OR OUT OF THIS MEMBERSHIP AGREEMENT OR RESTAURANT ACCESS AGREEMENT OR CONTENT LICENSE AGREEMENT, INCLUDING WITHOUT LIMITATION YOUR USE OF, RELIANCE UPON, ACCESS TO, OR EXPLOITATION OF OUR SITES, THE CONTENT OR ANY PART THEREOF, OR ANY RIGHTS GRANTED TO YOU HEREUNDER, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER THE ACTION IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR OTHERWISE.

IN ANY EVENT, THE CRA'S AND THE CRA FAMILY OF WEBSITES TOTAL MAXIMUM AGGREGATE LIABILITY UNDER ANY AGREEMENT OR IN RESPECT OF THE USE OR EXPLOITATION OF ANY OR ALL PART OF OUR SITES OR THE CONTENT IN ANY MANNER WHATSOEVER SHALL BE LIMITED TO ZERO ($0.00) CANADIAN DOLLARS.

IN ANY EVENT, THE CRA'S TOTAL MAXIMUM AGGREGATE LIABILITY UNDER ANY AGREEMENT OR IN RESPECT OF THE USE OR EXPLOITATION OF ANY OR ALL PART OF OUR SITES OR THE CONTENT IN ANY MANNER WHATSOEVER SHALL BE LIMITED TO ZERO ($0.00) CANADIAN DOLLARS.

IN ANY EVENT, THE CRA FAMILY OF WEBSITES TOTAL MAXIMUM AGGREGATE LIABILITY UNDER ANY AGREEMENT OR IN RESPECT OF THE USE OR EXPLOITATION OF ANY OR ALL PART OF OUR SITES OR THE CONTENT IN ANY MANNER WHATSOEVER SHALL BE LIMITED TO ZERO ($0.00) CANADIAN DOLLARS.

SOME JURISDICTIONS DO NOT ALLOW FOR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THE LIABILITY OF THE CRA AND THE CRA FAMILY OF WEBSITES OR ANY OF THEIR DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, PARTNERS, OR AGENTS SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

FORUM SELECTION
Until further notice and at our discretion, the parties agree that any legal proceeding, commenced by one party against the other, shall be brought in any Provincial or Federal court having proper jurisdiction, within the Province of Ontario. You submit to such jurisdiction, and waive any objection to venue and/or claim of inconvenient forum.

Applicable Law
OUR SITES are controlled, operated and administered by 3770672 Canada Inc from within the City of Montreal (temporarily),within the Province of Quebec, in Canada.

OUR SITES are hosted in the USA.

OUR SITES MAY be accessed from all provinces and territories of Canada, as well as from other countries around the world. As each of these jurisdictions has laws that may differ from those of the Province of Ontario, by accessing OUR SITES, you acknowledge and agree that any Agreement will be governed under the laws of the Province of Ontario and the federal laws of Canada applicable therein (without reference to conflicts of laws principles). You hereby irrevocably submit to the jurisdiction of the Courts of the City of Toronto, in the Province of Ontario, Canada with respect to the subject matter of any Agreement.

Any Agreement with the CRA will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.


You consent to service of any required notice or process upon you by email, registered mail or overnight courier with proof of delivery notice, addressed to the address or contact information provided by you at the time you are first granted access to the membership portions of OUR SITES, or such other address as you may advise us in writing to use, from time to time.

If the CRA or The CRA Family of Websites is obligated to go to court, to enforce any of its rights, or to collect any fees, you agree to reimburse the CRA and The CRA Family of Websites for its legal fees, costs and disbursements if the CRA or The CRA Family of Websites is successful.

General
You specifically agree and acknowledge that you have, in addition to the terms of any agreement, reviewed the terms of the Rules of User Conduct and any other agreements which may be incorporated by reference therein, and to the extent of their incorporation herein you agree to be bound by them.

The CRA's or The CRA Family of Websites failure to insist upon or enforce strict performance of any provision of any agreement shall not be construed as a waiver of any provision or right.

GOVERNING LAW, SEVERABILITY
Until further notice this Agreement will be governed and interpreted in accordance with the internal laws of the Province of Ontario and the laws of Canada applicable therein. In the event that any provision of this Agreement is found by a court, arbitrator or other tribunal to be illegal, invalid or unenforceable, then such provision shall not be voided, but shall be enforced to the maximum extent permissible under applicable law, and the remainder of this Agreement shall remain in full force and effect. Any prohibition or unenforceability of any provision of this Agreement in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
